These Terms of Service (the “Terms”) govern your access to and use of Savrli’s websites, mobile applications,creator tools, business portals, and related services (collectively, the “Service”). “Savrli,” “we,” “us,” and “our”mean Savrli Inc., 13600 Marina Pointe Drive, Suite 306, Marina Del Rey, CA 90292. By accessing or using theService, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1) Acceptance of Terms
By creating an account, accessing, or using any part of the Service, you accept these Terms and our PrivacyPolicy. You may use the Service only in compliance with applicable laws and these Terms.
2) Changes to the Service or Terms
We may update the Service and these Terms. The current version will be posted with the “Last Updated”date. Material changes will be announced via in‑app notice or email. Your continued use after changesbecome effective constitutes acceptance.
3) Eligibility; Account Registration
- Minimum age. You must be at least 13 to use the Service (18 in the EEA/UK/Switzerland; 14 inQuebec). If you are under the age in your jurisdiction, you may use the Service only with the consentof a parent/guardian where permitted by law.
- Account info. Provide accurate information and keep it current. You are responsible forsafeguarding credentials and for all activity under your account. Notify us immediately ofunauthorized use at support@savrli.com.
- Businesses. If you act on behalf of a business, you represent that you are authorized to bind thatbusiness to these Terms.
4) Your Content; License to Savrli
- Ownership. You retain ownership of photos, videos, reviews, lists, messages, and other material yousubmit (“Content”)
- License to Savrli. You grant Savrli a worldwide, non‑exclusive, royalty‑free, transferable, andsublicensable license to host, store, reproduce, adapt, translate, create derivative works, publish,publicly perform and display, and distribute your Content in connection with operating, promoting,and improving the Service and Savrli’s marketing and communications, in any media now known orlater developed. Where permitted by law, you waive moral rights to the extent necessary for theforegoing license.
- Public display. Content you make public may be viewed, shared, embedded, featured, indexed, andre‑used by others, businesses, and partners, consistent with your settings and the Service’sfunctionality
- Representations. You represent and warrant that you have all rights needed to grant the abovelicense and that your Content and our use of it as permitted here will not violate law or third‑partyrights.
- Moderation. We may remove or refuse Content that, in our discretion, violates these Terms or ourpolicies.
5) Acceptable Use & Community Standards
You agree not to: - post unlawful, deceptive, defamatory, obscene, hateful, harassing, or infringing material;- impersonate others or misrepresent your affiliation; - submit fake, compensated, or conflicts‑of‑interestreviews; - scrape, crawl, or harvest data except as permitted by robots.txt and applicable law; - reverseengineer, probe, or circumvent security or access controls; - interfere with the Service’s operation or use it todistribute malware or spam; - violate any applicable law or third‑party rights. We may suspend or terminateaccounts, remove Content, and take other action to protect users and the Service.
6) Businesses; Listings; Reservations & Ticketing
- Business pages & claims. Business pages may display information such as name, address,amenities, menus, events, photos, and contact details sourced from owners, users, partners, and public sources (including official websites, social media, and government registries). We may createa page for any business and mark it as “Unclaimed” until an authorized representative verifiesownership. Owners and authorized agents can claim pages and submit updates. Except whererequired by law, Savrli is not obligated to remove a business page on request.
- Sourcing & updates. We may import, translate, normalize, edit, re‑format, or curate information toimprove accuracy and consistency; we may also update pages based on public signals and partnerfeeds. Businesses are responsible for the accuracy and legality of their own submissions.
- Platform role (no provider). Savrli is a platform, not the seller or provider of listed goods/services.Businesses are solely responsible for offerings, promotions, prices, compliance, and customerservice.
- Reservations, waitlists & ticketing. The Service may facilitate reservations, waitlists, or ticketing—often via third parties. We are not responsible for cancellations, no‑shows, capacity, access, menuchanges, event changes, or other venue matters.
- Consumer Alerts. To protect users, we may display Consumer Alerts or similar notices on businesspages about unusual or deceptive activity (e.g., patterns suggesting fake/paid reviews, legal actions,public health/safety orders, or attempts to manipulate ratings). We determine when to post, modify,or remove alerts at our discretion and may share the basis for an alert with the affected businessand/or the public, consistent with law and our policies.
7) Paid Services; Subscriptions; Billing
- Payments. Certain features (e.g., business tools, premium experiences, subscriptions) requirepayment processed by us or our payment partners. Taxes may apply.
- Auto‑renewal. Subscriptions auto‑renew until canceled. Your payment method will be charged oneach renewal unless you cancel at least 24 hours before the end of the current term. You canmanage or cancel in your device settings, app store account, or in‑app account settings (whereavailable).
- Price changes & refunds. Prices may change upon notice as allowed by law. Except where requiredby law or expressly stated, fees are non‑refundable
- App Store purchases. If you purchase via Apple or Google, billing and refunds are governed by theirrespective terms and policies.
8) Communications; SMS; Electronic Notices
By providing contact information, you consent to receive transactional messages (e.g., reservation updates,receipts, security alerts). Where permitted, you may receive marketing communications; you can opt outusing provided controls. Standard carrier and data rates may apply. We may send legal noticeselectronically.
- Messaging & calls through the Service. If you use in‑app messaging, “quote requests,” calls, SMS,or AI‑assisted chats, you authorize Savrli to process, store, review, and analyze thosecommunications to deliver the Service, improve quality, ensure safety, and enforce policies. We may monitor metadata (e.g., phone numbers, carrier, timestamps, delivery/open status) and, wherenecessary, share delivery status with the other party to your conversation.
- Spam/fraud filtering. We may block, delay, or not deliver communications we reasonably believeare objectionable or violate policies or law (e.g., spam, fraud, phishing, solicitations to post/alter/remove reviews for compensation, harassment, or illegal content).
9) AI & Automated Features
We use machine learning and other AI technologies to personalize recommendations, assist with searchand messaging, detect fraud or policy violations, and improve the Service. We do not train generative AImodels on your personal data without your consent. You remain responsible for your decisions andContent.
10) Third‑Party Services & Links
The Service may link to or integrate third‑party services (e.g., maps, payments, booking engines, socialplatforms). We are not responsible for those services. Your use is governed by their terms and privacypolicies
11) Intellectual Property; Feedback; DMCA
- Our IP. The Service (including software, designs, and trademarks) is owned by Savrli or its licensorsand protected by intellectual‑property laws. Except as expressly permitted, no rights are granted byimplication or estoppel.
- Database & compilation rights. Savrli owns all database rights and other intellectual‑propertyrights in the selection, coordination, compilation, curation, and arrangement of information onthe Service—including business pages, categories and tags, rankings, ratings aggregates, searchindexes, and the overall look‑and‑feel. You may not copy, scrape, harvest, or create derivativedatabases from the Service except as expressly permitted by us or applicable law.
- Feedback. If you provide ideas or suggestions, you grant Savrli a perpetual, worldwide, royalty‑freelicense to use them without restriction or compensation.
- DMCA. If you believe Content infringes your copyright, send a notice to support@savrli.com(subject: “DMCA”) that includes: (a) your contact info; (b) identification of the copyrighted work; (c)the URL/location of the material; (d) a statement of good‑faith belief that the use is unauthorized; (e)a statement under penalty of perjury that the information is accurate and you are the owner orauthorized agent; and (f) your electronic or physical signature. We may notify the user and, whereappropriate, follow DMCA counter‑notice procedures.
12) Privacy
Our Privacy Policy explains how we collect, use, and share information. By using the Service, you consent toour data practices described there.
13) Disclaimers
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR APARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING ORUSAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ORERROR‑FREE, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE.
- No endorsement. Listings, ratings, and reviews reflect the opinions of users, not statements of factor endorsements by Savrli. We do not sponsor or endorse any business listed on the Service and donot verify every claim made by users or businesses. Your dealings with businesses are solelybetween you and those businesses.
14) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAVRLI AND ITS AFFILIATES, OFFICERS, DIRECTORS,EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, ORGOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THEPOSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THEGREATER OF (A) THE AMOUNT YOU PAID TO SAVRLI FOR THE SERVICE IN THE 12 MONTHS BEFORE THEEVENT GIVING RISE TO LIABILITY OR (B) USD $100.
15) Indemnification
You agree to defend, indemnify, and hold harmless Savrli and its affiliates from any claims, liabilities,damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to yourContent, your use of the Service, or your violation of these Terms or applicable law.
16) Governing Law; Arbitration; Class‑Action Waiver
- Law & venue. These Terms are governed by the laws of the State of California, excludingconflict‑of‑laws rules. Subject to the arbitration provision below, the exclusive venue for disputes isthe state or federal courts located in Los Angeles County, California.
- Arbitration. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules before a singlearbitrator in Los Angeles County, California. Either party may seek relief in small‑claims court foreligible claims or seek injunctive relief in court to protect IP or confidential information. Thearbitrator may award individual relief only.
- Class‑action waiver & jury trial waiver. YOU AND SAVRLI AGREE THAT EACH MAY BRING CLAIMSONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANYPURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU ALSO WAIVE ANY RIGHT TO A JURYTRIAL.
- Opt‑out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@savrli.com with subject line “Arbitration Opt‑Out” and your full name and the emailassociated with your account.
17) Termination
We may suspend or terminate your access to the Service at any time with or without notice if you violatethese Terms or if we discontinue the Service. You may stop using the Service at any time. Sections that bytheir nature should survive termination do so, including Sections 4–7 and 11–20.
18) Export & Sanctions
You may not use or export the Service in violation of U.S. export laws and regulations or applicablesanctions programs. You represent that you are not located in, under the control of, or a national orresident of any country or entity subject to comprehensive U.S. sanctions.
19) App Store Terms (Apple/Google)
If you downloaded the mobile app from Apple’s App Store or Google Play, you acknowledge: (a) these Termsare between you and Savrli, not Apple or Google; (b) Apple/Google have no responsibility for the app or itscontent; (c) Apple/Google are third‑party beneficiaries of these Terms; and (d) you will comply with AppleMedia Services Terms or Google Play Terms, as applicable.
20) Miscellaneous
- Entire agreement. These Terms constitute the entire agreement between you and Savrli regardingthe Service and supersede prior agreements.
- Severability. If any provision is unenforceable, the remaining provisions remain in full force andeffect.
- Assignment. You may not assign or transfer these Terms without our consent. We may assign theseTerms in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.
- No waiver. Failure to enforce a provision is not a waiver.
- Headings. Headings are for convenience only.
